These Terms of Use (“Terms”) govern your access to and use of the Audiex platform (“Audiex”, “we”, “us”, or “our”), including any websites, tools, applications, and services provided by Audiex. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our platform.

1. Definitions

1. Content Creator: A user who registers with Audiex to upload and monetize audio content (including DJs, musicians, podcasters, etc.).
   
   

2. End User: Any individual who subscribes to audio content created by a Content Creator via the Audiex platform.
   
   

3. Subscription Fee (Content Creator): The fixed fee paid by Content Creators to access Audiex’s monetization platform.
   
   

4. Processing Fee: The fees imposed by third-party payment service providers, including Stripe.
   
   

5. Member-Only Content: Audio content accessible exclusively to paying subscribers of a Content Creator.
   
   

6. Account: The personal account that each user sets up to access and use Audiex’s services.
   
   

7. Admin Portal: The administrative interface accessible only by registered Content Creators.

2. Eligibility

1. You must be at least 18 years of age (or the age of majority in your jurisdiction) or have the legal capacity to enter into a contract to use the Audiex platform.
   
   

2. Content Creators must register using an email address that is identical to the one used for their subscription on the Admin Portal.

3. Content Creator Fees and Payments

3.1 Monthly Subscription Fee

1. Subscription Fee: Audiex charges a fee of $29.99 per month to Content Creators for using our monetization platform. This fee is billed monthly and is automatically charged.
   
   

2. Cancellation Policy: The monthly subscription fee is cancellable at any time by the Content Creator via the Admin Portal. Cancellation will prevent future billing; however, fees already incurred are non-refundable.

3.2 Transaction Fee and Payment Processing

1. Transaction Fee: In addition to the monthly subscription fee, Audiex charges a fee equal to 1% of the subscription price that Content Creators charge their End Users.
   
   

2. Processing Fees: Any processing fees imposed by Stripe or other payment processors are passed through to the Content Creator.
   
   

3. Payment Flow: Audiex will capture payments on behalf of the Content Creator from End Users. At the end of each calendar month, Audiex will disburse the funds collected, automatically deducting the Content Creator’s fees (including the transaction fee and any applicable processing fees).

4. Use of the Platform by Content Creators

4.1 Account Registration and Email Requirement

1. Content Creators must complete registration using an email address that matches the one used for their Audiex subscription on the Admin Portal. Any discrepancy may result in suspension or termination of the account.

4.2 Acceptable Content

1. Content Guidelines: Content Creators are solely responsible for ensuring that the audio content they upload does not contain any material that is illegal, infringes on copyrights, or violates any third-party rights.
   
   

2. Prohibited Content: The uploading of any audio content that is illegal, copyrighted, or otherwise unauthorized is strictly prohibited.
   
   

3. Content Removal: Audiex reserves the right to remove any audio content that is deemed to be in violation of these Terms or any applicable law, either proactively through automated filtering or upon receiving complaints. Repeated or serious violations may result in account termination.

5. Use of the Platform by End Users

1. End Users may subscribe to Content Creators via the Audiex app.
   
   

2. Content Creators set the subscription price for their member-only content. By subscribing to a Content Creator, End Users acknowledge that:
   
   

   1. The content is created, owned, and controlled exclusively by the respective Content Creator.
      
      

   2. Audiex acts solely as a platform and intermediary, and does not own, create, or endorse the audio content provided by Content Creators.

6. Payment Processing and Third-Party Services

1. Stripe: Audiex utilizes Stripe for payment processing services. By using the platform, you acknowledge and agree to Stripe’s terms and privacy policies, which are incorporated by reference.
   
   

2. Disbursement: Payments to Content Creators will be disbursed monthly after deducting applicable fees. Audiex is not liable for any issues arising from the operations or policies of Stripe or any third-party service providers.

7. Termination

1. Termination by Content Creators: You may cancel your subscription and discontinue use of the platform at any time. Termination of your account will remain subject to these Terms and any outstanding fees due up to the point of cancellation.
   
   

2. Termination by Audiex: Audiex reserves the right to suspend or terminate your account, with or without notice, if you:
   
   

   1. Violate these Terms.

   2. Upload prohibited audio content.

   3. Provide false or misleading account information.
      
      

3. Effect of Termination: Upon termination, you will lose access to the Audiex platform. However, any obligations incurred prior to termination, including outstanding fees, shall remain payable.

8. Intellectual Property and Content Ownership

1. Content Creators retain all intellectual property rights in the audio content that they upload.
   
   

2. By uploading content to Audiex, you grant Audiex a non-exclusive, royalty-free, worldwide license to host, display, and distribute your content solely as necessary to provide the services.
   
   

3. End Users acknowledge that any subscription payments they make for access to content are transactions with the respective Content Creator, and that Audiex does not assume any responsibility or liability regarding the content provided.

9. Disclaimers and Limitation of Liability

1. No Endorsement: Audiex does not endorse, control, or guarantee the content provided by Content Creators. All content is solely the responsibility of the respective Content Creator.
   
   

2. “As Is” Basis: Audiex’s services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied.
   
   

3. Limitation of Liability: In no event shall Audiex be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform or these Terms.

10. Changes to the Terms

1. Audiex reserves the right to update or modify these Terms at any time, with or without prior notice. Updated Terms will be posted on the Audiex platform and will be effective immediately upon posting.
   
   

2. It is your responsibility to review these Terms periodically for any changes. Continued use of the platform after any changes constitutes your acceptance of the updated Terms.

11. Governing Law and Dispute Resolution

1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Audiex operates, without regard to its conflict of law provisions.
   
   

2. Dispute Resolution: Any dispute arising in connection with these Terms shall be resolved first through good-faith negotiation between the parties. If a resolution is not reached, disputes may be submitted to binding arbitration or court litigation as determined by Audiex.
